Acceptance of these terms

By accessing or using SmartPact (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to any part of these Terms, you may not use the Service.

These Terms apply to anyone visiting our website, creating an account, purchasing tokens, or using any feature of the platform.

Your account

You must be at least 18 years old to create a SmartPact account. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account.

You agree to provide accurate and current information when registering. You must notify us immediately if you suspect unauthorised access to your account.

One person — one account. Sharing credentials between multiple humans is not permitted. Team seats are available on the Atelier pack.

Tokens and purchases

SmartPact is a token-based service. You purchase a one-time pack of tokens, which are added to your wallet and spent each time you trigger a generation (a character, a reel, a frame).

• No subscriptions. Nothing renews on its own. There is nothing to cancel.
• Tokens never expire. They remain in your wallet until you spend them.
• Token cost is shown before each generation. You confirm the cost before any tokens are debited.
• Failed renders are refunded automatically to your token wallet within a few minutes.

Token packs and per-render token costs may change for future purchases, but tokens you already own are honoured at the cost at which they were earned.

Acceptable use

You agree not to use SmartPact to generate, host, or distribute content that:

• Depicts real, identifiable individuals without their explicit, written consent, including but not limited to public figures, minors, or private persons.
• Is sexually explicit, depicts non-consensual sexual content, or sexualises minors in any form.
• Promotes violence, terrorism, self-harm, or illegal activity.
• Constitutes harassment, defamation, hate speech, or discrimination based on race, gender, religion, sexual orientation, or disability.
• Infringes any third party's intellectual-property rights, trademarks, or publicity rights.
• Is intended to deceive — including political deepfakes, financial fraud, or impersonation of officials.
• Violates any applicable law in your jurisdiction or ours.

We reserve the right to suspend or terminate accounts that violate these rules, refuse to process any render, and report unlawful activity to relevant authorities.

AI-generated content

You provide prompts, references and inputs. The Service produces video, images and audio in response. We make no representation that any specific render will exactly match your prompt — generative AI is probabilistic by nature.

You acknowledge that:

• AI models may occasionally produce unintended, biased, or low-quality outputs. Tokens spent on failed renders are refunded; tokens spent on subjectively unsatisfactory renders are not.
• You are responsible for reviewing every generated asset before publishing it.
• You must clearly disclose AI-generated content where required by law or platform policy (Instagram, TikTok, YouTube each maintain their own disclosure rules).

Intellectual property

Your inputs stay yours. You retain all rights to images, audio, prompts, and brand assets you upload.

Your outputs are yours. Subject to your compliance with these Terms, you own the renders you generate and may use them for commercial purposes, including publishing, licensing, and remixing.

Our platform stays ours. The SmartPact name, marks, software, UI, sample reels, and underlying models remain our intellectual property. You may not reverse-engineer, scrape, or resell the Service itself.

You grant us a limited, non-exclusive licence to store and process your inputs and outputs solely to provide the Service. We do not train base models on your private content without explicit consent.

Refunds

Refunds are processed back to the original Visa or Mastercard within 5–10 business days. We do not refund to alternative payment methods.

Payment processing

SmartPact accepts Visa and Mastercard credit cards only. We do not accept debit-only cards, PayPal, cryptocurrency, bank transfer, Apple Pay or Google Pay.

Payments are processed by our payment processor. We do not store full card numbers on our servers — only the tokenised reference required to process refunds and chargebacks.

All prices are shown in US dollars (USD) unless otherwise noted, and may include applicable taxes depending on your billing country.

Termination

You may delete your account at any time from Settings → Account. We may suspend or terminate your account if you violate these Terms, abuse the Service, attempt fraudulent chargebacks, or use the platform for prohibited content.

On termination, your access to the Service ends immediately. Unused tokens within the 14-day refund window remain refundable. Tokens outside the refund window are forfeited if termination is due to a Terms violation.

Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied. We do not guarantee uninterrupted operation, error-free output, or any specific commercial result from using the platform.

SmartPact is a tool, not a guarantee of audience growth, engagement, or revenue. We make no claims about how content generated through the Service will perform on third-party platforms.

Limitation of liability

To the maximum extent permitted by law, SmartPact and its team will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, or use, arising out of or related to the Service.

Our total aggregate liability under these Terms will not exceed the amount you paid to SmartPact in the 90 days preceding the event giving rise to the claim.

Changes to these terms

We may update these Terms from time to time. Material changes will be announced at least 14 days in advance by email and in-app notice. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

If you do not agree to the new Terms, you may close your account and request a refund of any unused tokens (the 14-day window restarts for material changes affecting commercial terms).
